1. Acceptance of Terms
By accessing or using any services provided by Miyagi Labs ("we," "our," or "us"), including through our website, platform, APIs, or integrations, you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users, including individuals, companies, educational institutions, and their authorized representatives.
If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that entity.
2. Our Services
Miyagi Labs provides AI-powered solutions designed to generate personalized learning, training, and tutoring experiences from video or text content. Our services are used across multiple sectors, including but not limited to:
- Education (e.g., K–12 schools, universities, edtech)
- Enterprise and Corporate Training (e.g., onboarding, sales enablement, workforce development)
We reserve the right to update or modify the features and functionality of the services at any time. When changes materially affect data use or platform behavior, we will provide reasonable notice to affected users or customers.
3. Data Use and Privacy
We are committed to protecting the privacy of all users and complying with all applicable U.S. federal and state data privacy laws. This includes but is not limited to:
- FERPA (Family Educational Rights and Privacy Act)
- COPPA (Children's Online Privacy Protection Act)
- Relevant state-level student and consumer data protection laws
3.1 Data Collection and Usage
We collect only the information necessary to deliver and improve our services, such as:
- Account registration information (e.g., name, email)
- Usage data and progress metrics
- Content provided or generated during use of our platform
We use data solely for service delivery, improvement, support, and internal analytics. We do not sell user data or use it for targeted advertising or profiling unrelated to the core learning experience.
3.2 Data Ownership and Access
Clients retain ownership of their data. For educational institutions, student data remains under institutional control. For business clients, data ownership and usage rights are defined by the nature of the relationship or any separate agreement. We provide tools or APIs for data export and deletion upon request.
3.3 Security Measures
We use industry-standard administrative, technical, and physical safeguards to protect data, including encryption, access controls, and routine security reviews.
3.4 Consent and Authorization
For users under 13 years of age, we require verifiable consent through a school, district, or authorized guardian, in accordance with COPPA. Organizational users are responsible for ensuring they have the right to submit or authorize data in accordance with their internal and legal obligations.
3.5 Data Breach Notification
In the event of a security incident involving personal or sensitive data, we will notify affected clients promptly and in accordance with applicable law.
4. User Responsibilities
By using our services, you agree to:
- Provide accurate and up-to-date information
- Keep your account credentials secure
- Use the services only for lawful and authorized purposes
- Not reverse engineer, interfere with, or exploit the services without permission
- Not upload or share unlawful or harmful content
5. Intellectual Property
All software, content, and technology provided by Miyagi Labs are the exclusive property of Miyagi Labs or its licensors and are protected by intellectual property laws. You may not copy, modify, or distribute any portion of the platform without prior written permission, except where explicitly permitted.
6. Sector-Specific Agreements
Depending on your organization type, additional agreements may apply:
- Educational institutions may request a Data Privacy Agreement (DPA) to meet district or state compliance requirements.
- Enterprise clients may enter into a Master Service Agreement (MSA) or similar contractual terms for custom deployments or integrations.
7. Changes to Terms
We may update these Terms periodically. If changes are material, we will notify you by email or in-app notification. Continued use of the services after updates constitutes acceptance of the revised Terms.
